Cannabis-industry companies especially need guidance with crowdfunding.  In a Section 4(a)(6) funding (The Securities Act of 1933) the funding portal must use a bank or broker-dealer as an escrow agent.  The crowdfunding portal, also known as the intermediary, is not allowed to touch the cash that is invested.  It all goes to a qualified escrow agent until your minimum targeted investment is met and when escrow breaks, the portal receives a nominal commission.
